Terms and Conditions

These Terms and Conditions (the “Terms”) govern your access to and use of Syncore websites, software, packs, integrations, beta products, and related services (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

1. Eligibility and Accounts
- •You must be legally capable of entering into a binding agreement and comply with these Terms when using the Services.
- •You are responsible for providing accurate account information, safeguarding credentials, and all activities that occur under your account.
- •We may refuse registration, suspend access, or require additional verification where reasonably necessary.
2. The Services
- •The Services may include websites, workflow packs, software tools, beta features, integrations, subscriptions, credits, and support resources.
- •We may modify, improve, limit, or discontinue portions of the Services at any time. Features described on marketing pages are subject to change, including during beta.
- •Some Services may depend on third-party products, integrations, or platforms. We are not responsible for third-party services, and your use of them may be subject to separate terms.
3. Beta Services
- •Features labeled alpha, beta, preview, early access, or similar are provided for evaluation and may contain bugs, errors, and incomplete functionality.
- •Beta features may be changed or removed at any time, may not be supported, and may be subject to different usage limits or pricing.
- •To the fullest extent permitted by law, beta features are provided “as is” without warranties of any kind.
4. Fees, Billing, Credits, and Refunds
- •Certain Services require payment. You agree to pay all applicable fees, taxes, and charges associated with your account or order.
- •Subscriptions may renew automatically unless canceled before the applicable renewal date. Credits, usage-based charges, limits, and overages may apply depending on your plan.
- •Unless otherwise stated in writing, fees are non-refundable, except where required by law.
5. Billing Modes — Gateway and Bring-Your-Own-Key
- •Some integrations route through a Syncore-managed AI gateway. In gateway mode, Syncore holds upstream API keys (for example, for search, scraping, or speech model providers) and meters your usage against your tier’s monthly allowance. Charges in gateway mode appear on your Syncore invoice.
- •Other integrations operate in Bring-Your-Own-Key (“BYOK”) mode, in which you supply an upstream API key directly. In BYOK mode, your usage is billed by the upstream provider under that provider’s own terms; Syncore acts only as a routing intermediary and does not control upstream pricing, quotas, or availability.
- •Switching between gateway and BYOK mode for an integration may change which party invoices you and under which terms. You are responsible for monitoring upstream charges incurred in BYOK mode.
6. Acceptable Use
- •You may not use the Services to violate law, infringe rights, gain unauthorized access, distribute malware, interfere with systems, or generate or facilitate abusive, harmful, deceptive, or fraudulent activity.
- •You may not misuse shared capacity, attempt to bypass limits or security controls, scrape the Service itself without permission, or resell access except as expressly authorized.
- •You are responsible for ensuring that your prompts, outputs, files, and connected tools are used lawfully and appropriately.
7. Local Skill Execution and Supply Chain
- •Skills are independent code packages distributed through the Syncore marketplace and executed locally on your device. Each skill runs as a child process under your operating system account, with the credentials and permissions you grant at install or connect time.
- •While we apply commercially reasonable review to submissions accepted into the Syncore marketplace, you remain responsible for evaluating any skill you install — particularly third-party skills — for fitness, security, and compatibility with your environment and data-handling requirements. We do not warrant that any skill is free of bugs, malicious code, or behaviors that conflict with your policies.
- •If you install or operate skills outside the Syncore marketplace (for example, by sideloading from arbitrary sources), you do so at your own risk and are responsible for any consequences.
8. Customer Content and Inputs
- •You retain ownership of your content, prompts, files, and other materials you submit to the Services (“Customer Content”).
- •You grant us a limited, non-exclusive right to host, process, transmit, cache, and otherwise use Customer Content as necessary to provide, secure, maintain, and improve the Services, subject to our Privacy Policy and any separate written agreement.
- •You represent that you have all rights necessary to submit Customer Content and use the connected tools, data sources, and integrations involved.
9. Output and AI Features
- •The Services may generate outputs, summaries, classifications, or recommendations using automated systems or AI models. Outputs may be incomplete, inaccurate, or unsuitable for your use case and should be reviewed by a human before reliance or action.
- •You are responsible for evaluating outputs and deciding whether and how to use them, including before sending communications, making decisions, or acting on extracted information.
10. Agent Autonomy and Tool Execution
- •The Services route requests from AI agents — such as Claude, Cursor, ChatGPT, or other Model Context Protocol (“MCP”) compatible clients — directly to integrated tools and skills. Depending on your client and configuration, an agent may invoke a skill (including skills that send messages, modify files, post to repositories, charge payment instruments, or take other consequential actions) without separately confirming each call with you.
- •You are responsible for choosing which integrations to connect, granting OAuth or API scopes, configuring per-call confirmation behavior in your MCP client, and reviewing agent outputs and intentions before authorizing access to systems where you cannot tolerate erroneous, unintended, or destructive actions.
- •Syncore does not screen or correct an agent’s reasoning. We do not warrant that an agent will interpret your instructions correctly or use a connected tool in the way you intended. Loss arising from an agent’s autonomous action on a tool you authorized is your responsibility.
11. Intellectual Property
- •The Services, including software, design, branding, content, documentation, and related intellectual property, are owned by Syncore or its licensors and protected by law.
- •Subject to these Terms and any applicable order, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for your internal lawful business or personal use.
- •Except as expressly allowed, you may not copy, modify, distribute, reverse engineer, create derivative works from, or exploit the Services.
12. Third-Party Services
- •The Services may interoperate with third-party platforms, APIs, model providers, data providers, payment processors, identity providers, or communication tools.
- •We do not control and are not responsible for third-party services or their availability, pricing, security, accuracy, or terms.
- •If a third-party provider changes, deprecates, suspends, or terminates access, some features of the Services may be affected.
13. Suspension and Termination
- •We may suspend or terminate your access, in whole or in part, if we reasonably believe you violated these Terms, pose a security or legal risk, fail to pay fees, or if continued provision is no longer commercially or technically feasible.
- •You may stop using the Services at any time, and where supported, may cancel subscriptions or delete your account through the applicable settings or by contacting us.
- •Sections that by their nature should survive termination will survive, including provisions on fees owed, intellectual property, disclaimers, limitations of liability, and dispute terms.
14. Disclaimers
- •Except as expressly stated in a written agreement, the Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
- •We do not warrant that the Services will be error-free, secure, always available, or compatible with every third-party environment, client, or integration.
15. Local Device Security and Credential Storage
- •OAuth tokens, API keys, and other credentials needed by skills are stored encrypted on your local device under `~/.syncore/secrets/`. Encryption uses a device-bound master key generated at install time. Credentials are decrypted in memory only when a skill needs them and provided to the skill child process via environment variables.
- •Because credentials live on your device, the security of those credentials depends on the security of your device. Compromise of your operating-system account, theft or loss of the device, hostile physical access, malware installation, or insufficient disk encryption may result in credential exposure outside Syncore’s control.
- •Syncore takes commercially reasonable measures (encryption at rest, device binding, minimal in-memory residency) but does not warrant against credential exposure resulting from local-device compromise. If you suspect compromise, you should immediately revoke connected-account access at the upstream provider, rotate the affected credentials, and run `syncore logout` or remove `~/.syncore/secrets/` on the affected device.
16. Limitation of Liability
- •To the fullest extent permitted by law, Syncore and its affiliates, officers, employees, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities.
- •To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Services and these Terms will not exceed the greater of (a) the amounts you paid to us for the applicable Service in the 12 months before the event giving rise to the claim, or (b) US$100.
- •Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
17. Indemnity
- •To the extent permitted by law, you will defend, indemnify, and hold harmless Syncore and its affiliates, personnel, and licensors from claims, liabilities, damages, losses, and expenses arising from your use of the Services, your Customer Content, your violation of these Terms, or your infringement of the rights of any person or entity.
18. Governing Law and Disputes
- •These Terms are governed by the laws of the jurisdiction where Syncore Labs is organized, excluding conflict-of-law rules.
- •Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the courts of that jurisdiction, unless applicable law requires otherwise or you choose another mandatory statutory forum.
19. Changes to These Terms
- •We may update these Terms from time to time. If we make material changes, we will post the revised Terms and update the effective date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms, unless applicable law requires additional notice or consent.
20. General
- •These Terms, together with any referenced policies or written order forms, are the entire agreement between you and Syncore regarding the Services, unless a separate written agreement applies.
- •If any provision is held unenforceable, the remaining provisions will remain in effect.
- •You may not assign these Terms without our prior written consent, except where permitted by law. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
- •No waiver is effective unless in writing, and failure to enforce a provision is not a waiver.
